Paramount buys Warner Bros. for $110 billion, changing Hollywood
This agreement will transform the streaming experience for billions of viewers around the world and usher in a new chapter in the film and television industry.
Paramount Skydance bought Warner Bros. Discovery for $110 billion, which brought about a major change in the map of Hollywood and the international entertainment and media business.
After months of legal battles and widespread criticism over their dominance of the media market, two of Los Angeles’ largest studios have merged.
The BBC wrote that the deal will change the streaming experience of billions of viewers around the world and mark the beginning of a new chapter in the film and television industry.
At the same time, this acquisition created new uncertainty about the future of CNN, one of the largest media outlets in the United States.
This merger brought popular media outlets like HBO, CBS, Nickelodeon, Showtime, Comedy Central, DC Studios, and Food Network under one umbrella.
Paramount already had hit franchises like Indiana Jones, Mission: Impossible, and Shrek, and now Warner Bros. has added iconic franchises like Harry Potter, Game of Thrones, and The Lord of the Rings. The merged entertainment giant will be called Skydance Corporation, the company founded by David Ellison before it acquired Paramount and Warner Bros.
Skydance Chairman and CEO Ellison described the acquisition deal as a “historic” step for the film industry.
“Our goal from the beginning was to bring together these two legendary studios to create a formidable competitor with the talent, resources and reach to deliver great stories across all genres, across all platforms and to all audiences.
Now that goal has become a reality,” he said. Last week, Ellison named outgoing Mattel CEO Inon Kreis as co-chief executive of the new company.
Kreis will oversee the company’s day-to-day operations and focus on integrating the new combined businesses, while Ellison will focus on the company’s strategy and technology. Former BBC director general Mark Thompson will continue as chairman and editor-in-chief of CNN Worldwide, while Barry Weiss will remain editor-in-chief of CBS News.
Casey Bloys, head of HBO and Max content, will now serve as co-chair and chief content officer of direct-to-consumer content. Mike Proulx, research director at Forrester Research, said the change means HBO’s leadership team will now manage Skydance’s integrated streaming operations.
“While this is good news for the HBO brand, there will be pressure on Bloys to cut costs in a way that could impact the quality of content,” he warned.
Dan Coatsworth, head of markets at AJ Bell, said interest rates are high now, and the company also has a large debt burden.
“As a result, the new Skydance will now have to reduce costs and increase profits so that debt can be brought down to a tolerable level.”

However, from the beginning, there were various controversies in this long acquisition process.
The BBC wrote that Netflix initially agreed to buy a portion of Warner Bros. Discovery, but the streaming giant backed out when Paramount participated in the Skydance auction and offered a large sum.
Lawyers in about a dozen US states, including California, sued the deal, claiming that the merger would reduce competition in the market, increase consumer costs and cause serious harm to movie theaters, cable distributors and audiences. However, Paramount and Ellison reached a settlement agreement with US states last month, paving the way for the acquisition.
As part of the deal, Paramount agreed to form a ‘News Editorial Independence Board’ to ensure ‘independent, objective and fact-based reporting’ on CNN and CBS news. Concerns about politics and editorial independence arose after CBS changed ownership when Skydance Media and Paramount merged in 2025.
Ellison, who hosted a dinner in Donald Trump’s honor, assured that press freedom would be maintained.
Warner Bros. has won more than 100 Academy Awards (Oscars) in its 103-year history. They also set a record with 11 awards at last year’s Oscars, which were dominated by films like “One Battle After Another,” “Sinners” and “Weapons.” On the other hand, Paramount, founded in 1912, also has more than 100 Oscars for classic films like ‘The Godfather’ to ‘Titanic’.
But they haven’t been able to maintain that glory in recent years. None of their films were nominated for an Oscar last year, and their last big win came in 2022 with “Top Gun: Maverick.”
Attorney General Rob Bonta, who led the case against the deal, said the main goal of the deal with the states was to ensure that the merged studios produce “original and powerful films” that would stimulate the economy and create jobs. The agreement includes strict restrictions against the production of ‘AI-generated’ films to prevent companies from meeting their annual quotas with low-budget or artificial intelligence (AI)-powered content.
Under the deal, Paramount must release at least 30 films per year. If it fails to meet this target, it will have to sell a 49 percent stake in Miramax, the film company founded by Hollywood mogul Harvey Weinstein and his brother Bob.
In addition, at least 20 percent of Paramount’s total film production must be done in the United States for the first two years, with the requirement to increase this rate to more than 30 percent over the next three years
